TERMS OF SERVICE

Welcome to WoundCafé (“we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of woundcafe.com websites and community platform located at hub.woundcafe.com (the “Platform”). By accessing, browsing, registering, or using the Platform in any manner, you (“you”, “your”, or “User”) agree to be bound by these Terms, our Privacy Notice, Community Guidelines, and any additional policies referenced herein or made available by hyperlink.

If you do not agree with these Terms, do not access or use the Platform.

1. ABOUT US

WoundCafé is a trading name of vTail Healthcare Telecommunications Ltd, a company incorporated in England and Wales with company number 12646131 and registered office at 264 Banbury Road, Summertown, Oxford OX2 7DY, United Kingdom. WoundCafé connects businesses and professionals across global niche MedTech markets—initially focusing on wound care—to facilitate collaboration in product design, development, commercialisation, regulatory approvals, and related services.

2. ELIGIBILITY

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Platform. You represent and warrant that you meet these requirements and will comply with all applicable laws and regulations when using the Platform.

3. ACCOUNT REGISTRATION AND SECURITY

Registration Information. To access certain features, you must create an account. You agree to provide accurate, current, and complete information and keep it updated.

Account Security. You are responsible for safeguarding your login credentials. You must notify us immediately at support@woundcafe.com of any unauthorised use or suspected breach.

One Account Rule. You may maintain only one active account unless we expressly approve otherwise.

4. COMMUNITY PARTICIPATION

Professional Conduct. You agree to interact respectfully, refrain from harassment, and comply with our Community Guidelines.

User-Generated Content ("UGC"). You are solely responsible for UGC you post, including text, files, images, and links. You warrant that you have all rights necessary to post such content and that it does not violate any third‑party rights or laws.

Content Standards. UGC must be accurate (where it states facts), genuinely held (where it states opinions), and comply with applicable laws in the UK and the country from which it is posted.

Monitoring. We reserve the right (but have no obligation) to pre‑screen, review, flag, filter, or remove UGC at our sole discretion.

5. LICENCE GRANT

By posting UGC, you grant Wound Café a worldwide, non‑exclusive, royalty‑free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform the UGC for the purpose of operating and promoting the Platform.

6. INTELLECTUAL PROPERTY

Ownership. All intellectual property rights in the Platform, excluding UGC, are owned by Wound Café or its licensors.

Limited Licence. We grant you a limited, revocable, non‑exclusive, non‑transferable licence to access and use the Platform for its intended purpose, subject to these Terms.

Prohibitions. You must not copy, modify, distribute, sell, or lease any part of the Platform or its content except as expressly authorised.

7. PROFESSIONAL AND MEDICAL DISCLAIMER

The Platform facilitates networking among professionals and organisations in the MedTech space. WoundCafé does not provide medical, regulatory, legal, or other professional advice. Content is for informational purposes only and should not replace consultation with qualified professionals.

8. FEES AND PAYMENT

Subscription Plans. Some features may require payment of fees. Details of pricing and inclusions will be displayed on the Platform.

Taxes. Prices are exclusive of VAT or other applicable taxes unless stated otherwise.

Refunds. Except as required by law or expressly provided in a written agreement, fees are non‑refundable.

9. PROHIBITED CONDUCT

You agree not to:

  • Use the Platform for unlawful, fraudulent, or harmful purposes.

  • Post or transmit content that is defamatory, obscene, abusive, or invasive of privacy.

  • Violate or infringe others’ intellectual property or proprietary rights.

  • Reverse engineer, decompile, or disassemble any part of the Platform.

  • Interfere with or disrupt the integrity or performance of the Platform or data contained therein.

  • Introduce viruses or malicious code.

  • Harvest data or information about Users without their consent.

  • Automated Access and Scraping

You must not use any robot, spider, scraper, crawler, or other automated means to access, extract, copy, index, or collect any data or content from the Platform for any purpose without our prior written consent. You must not attempt to bypass security measures, rate limits, or technical restrictions. Unauthorized scraping or automated access may violate applicable laws (including the UK Computer Misuse Act 1990 and the US Computer Fraud and Abuse Act), and we reserve the right to suspend or terminate your access, block IP addresses, and pursue legal and equitable remedies (including damages and injunctive relief).

What this means in plain English: Don’t use bots or automated tools to copy, harvest, or scrape data from Wound Café. If you want data access, ask us first - we may provide it through an API or agreement. We monitor traffic, and if we find scraping, we can block access and take legal action.

10. DATA PROTECTION AND PRIVACY

Wound Café processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and EU GDPR (where applicable). For details on how we collect, use, and protect personal data, please see our Privacy Notice.

11. INTERNATIONAL USERS

Access to the Platform may be illegal in certain jurisdictions. You are responsible for compliance with local laws. Regardless of your location, you consent to the processing of your data in the UK and other jurisdictions where Wound Café operates.

12. THIRD‑PARTY CONTENT AND LINKS

The Platform may contain links to third‑party websites or services that are not owned or controlled by Wound Café. We do not endorse or assume responsibility for any third‑party sites, information, materials, or services.

13. MODIFICATION OF THE PLATFORM AND TERMS

We may modify the Platform or these Terms at any time. Where changes are material, we will provide reasonable notice via email or by posting a notice on the Platform. Continued use after the effective date constitutes acceptance.

14. SUSPENSION AND TERMINATION

We may suspend or terminate your account or access to the Platform immediately and without liability if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we cease offering the Platform.

You may terminate your account at any time via your account settings. Provisions that by their nature should survive termination (e.g., licence grants, indemnities, limitations of liability) shall do so.

15. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, secure, or error‑free.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Wound Café's total liability to you arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) £100 or (b) the amount paid by you to Wound Café in the 12 months preceding the claim. Wound Café shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any matter in respect of which it would be unlawful to limit or exclude liability.

17. INDEMNITY

You agree to indemnify, defend, and hold harmless Wound Café, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Platform, your UGC, or your breach of these Terms.

18. FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform its obligations (excluding payment obligations) due to events beyond its reasonable control, including acts of God, war, terrorism, strikes, or internet failures.

19. GOVERNING LAW AND JURISDICTION

These Terms and any dispute or claim (including non‑contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

20. DISPUTE RESOLUTION

Before initiating court proceedings, you agree to attempt to resolve the dispute informally by contacting us at legal@woundcafe.com. If we cannot resolve the dispute within 30 days, either party may pursue formal legal action.

21. NOTICES

Notices to Wound Café must be sent by email to legal@woundcafe.com or by registered post to our registered address. Notices to you may be sent via email to the address associated with your account or displayed on the Platform.

22. MISCELLANEOUS

Entire Agreement. These Terms constitute the entire agreement between you and Wound Café regarding the Platform and supersede any prior agreements.

Severability. If any provision is held invalid, the remaining provisions will remain in effect.

Waiver. Failure to enforce any right or provision will not be deemed a waiver.

Assignment. You may not assign or transfer your rights or obligations without our prior written consent; we may assign our rights and obligations without restriction.
